About Fairmint
Fairmint is an on-chain equity platform targeting private companies. Its business includes helping startups issue, manage, and transfer equity, allowing investors to hold shares directly in their crypto wallets. The platform is an SEC-registered transfer agent that maintains an issuer-authorized shareholder register and handles KYC/KYB/AML compliance. It also offers AI tools that organize uploaded SAFEs, convertible notes, share certificates, and other documents into a real-time portfolio view.
The core differentiator is the adoption of open standards. Fairmint contributed to the Open Cap Table Format (OCF) and implemented it on-chain as the Open Cap Table Protocol (OCP). Its principle is that the ledger itself is the shareholder record, not a mirror of an off-chain file, while still recognizing the issuer-authorized register as the legal basis. This design avoids separating ownership from liquidity and reduces risks from derivative models where tokens merely reference physical shares.
The market pain point is that private-market equity management still relies on spreadsheets and manual legal work, leading to low transparency and inefficient transfers. Many tokenization projects issue tokens tied to underlying shares without clarifying investors' rights, record locations, or transfer rules, risking a repeat of the 1960s paperwork crisis.
In the past six months (March to September 2026), Fairmint submitted a framework to the SEC Crypto Task Force, proposing regulatory sandboxes and non-custodial broker-dealer models. Its CEO repeatedly stated this position on CoinDesk and LinkedIn, emphasizing recordkeeping and compliance as central to tokenized stocks. The platform also reported serving over 16,000 investors.
Fairmint was founded in 2019 by Joris Delanoue and Thibauld Favre. Initially focused on tokenizing equity, the company soon realized that tokenization alone still had to interface with off-chain systems, so it pivoted to bringing the entire cap table onchain. It co-founded the Open Cap Table Coalition with leading U.S. law firms to establish the Open Cap Table Protocol (OCP) standard, enabling interoperable equity data.
In 2023, Fairmint became an SEC-registered transfer agent, gaining regulatory recognition. In May 2025, it launched the first onchain open cap table infrastructure, automating issuance, verification, and compliant transfers. By June 2025, it surpassed $1 billion in onchain equity administered. Fairmint also joined Canton Network as a validator, working with Goldman Sachs, J.P. Morgan, and others to explore privacy-enabled institutional blockchains, paving the way for onchain IPOs and regulated DeFi. These milestones mark its evolution from a startup into essential infrastructure for private securities markets.
In April 2026, Fairmint acquired The RWA Desk, a New York-based events and media platform for Wall Street institutions, integrating it into its onchain equity ecosystem. The platform connects leaders from JPMorgan, Goldman Sachs, and other major firms, and its founder Chad Oda joined as Head of Institutional Growth to drive institutional capital into onchain equity. As an SEC-registered transfer agent, Fairmint has tokenized over $1 billion in assets and continues to advance its Open Cap Table Protocol (OCP) as a programmable equity standard. Officially, Fairmint positions 2026 as the year of scaling, aiming to make onchain equity the default rail from issuance to liquidity, while deepening collaboration within the Canton Network ecosystem to integrate settlement and ownership records.
